Prism Fletcher Hotels marks a major step in the Indian group’s European expansion strategy. Through its subsidiary Sunday PropTech, Prism, the parent company of OYO, has acquired Fletcher Hotels, the largest hotel group in the Netherlands. The portfolio includes 170 properties across the Netherlands, Belgium and Germany. Although the parties have not disclosed the transaction value, the acquisition represents a significant expansion of Prism’s European footprint.
Founded in 2012 by Ritesh Agarwal, OYO initially grew rapidly with the backing of Japanese investor SoftBank. However, the Covid-19 pandemic interrupted this expansion and significantly affected the company’s valuation. In recent years, Prism has regained momentum through a series of strategic investments. In 2024, for instance, the group acquired Motel 6 and Studio 6 from Blackstone for $525 million. Furthermore, approximately one month ago, it established a partnership with Dutch operator Sircle Collection, which also operates Max Brown Missori in Milan.
The Fletcher Hotels acquisition therefore reinforces Prism’s ambition to build a broader international hospitality platform. At the same time, the group continues to address its financial structure ahead of a potential stock market listing in India. At the end of 2025, Prism filed plans for an initial public offering (IPO), initially targeting approximately $700 million. The company intended to use the proceeds primarily to repay debt accumulated through its expansion strategy.
However, improved cash flow during fiscal year 2026 has prompted a significant revision. According to internal sources, Prism has more than doubled its EBITDA to 26 billion rupees, equivalent to approximately €240 million. Consequently, the group has cut its IPO target by half, to just over $350 million. Meanwhile, Moody’s and Fitch have both revised their outlooks on the company to positive.
Overall, Prism Fletcher Hotels highlights the group’s renewed growth ambitions and increasing focus on European markets. Moreover, stronger operating performance and improved credit outlooks could support its next phase of international expansion.
